1. Acceptance of Terms
By accessing and using FluxRail's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use our services.
2. Description of Service
FluxRail provides unified blockchain and cross-border payment infrastructure for developers, businesses, and fintech applications worldwide. Our services include blockchain event monitoring, webhook delivery, wallet services, gas-free programmable transfers, digital-asset conversion, and global cross-border settlement — converting digital assets to fiat and settling to bank accounts through payment rails including ACH, RTP, FedNow, wire, SWIFT, and local rails. Fund movement within our payment products is facilitated through FluxRail's settlement infrastructure and licensed payment partners. FluxRail operates as a technology infrastructure provider and does not custody customer funds beyond the in-flight settlement of an instructed transaction.
3. User Accounts
To use FluxRail services, you must create an account. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Ensuring your account information is accurate and up-to-date
4. Acceptable Use
You agree not to use FluxRail services to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit malicious code or viruses
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our services
- Use our services for any illegal or fraudulent activity
5. API Usage and Rate Limits
Your use of the FluxRail API is subject to rate limits based on your subscription plan. Excessive use beyond your plan limits may result in temporary suspension or additional charges. We reserve the right to modify rate limits with reasonable notice.
6. Payment and Billing
Paid services are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees. Failure to pay may result in service suspension or termination. All fees are non-refundable except as required by law.
7. Service Availability
While we strive for 99.9% uptime, we do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages. We are not liable for any damages resulting from service interruptions.
8. Data and Privacy
Your use of FluxRail is also governed by our Privacy Policy. We collect and process data as described in our Privacy Policy. You retain ownership of your data, and we will not sell your data to third parties.
9. Intellectual Property
FluxRail and its original content, features, and functionality are owned by FluxRail and are protected by international copyright, trademark, and other intellectual property laws.
10. Limitation of Liability
FluxRail shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the service. Our total liability shall not exceed the amount you paid us in the past 12 months.
11. Termination
We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the service will immediately cease. You may cancel your account at any time through your account settings.
12. Changes to Terms
We reserve the right to modify these terms at any time. We will notify users of any material changes via email or through our service. Continued use of FluxRail after changes constitutes acceptance of the new terms.
13. Compliance, KYC, and Prohibited Use
FluxRail operates in compliance with applicable anti-money laundering (AML), counter-terrorism financing (CTF), and sanctions regulations. By using our payment and payout services, you agree to the following:
- Identity Verification: Customers of our payment products are subject to identity verification (KYC). You must provide accurate and truthful information. FluxRail may use third-party identity verification services to verify customer identities.
- Sanctions and PEP Screening: FluxRail screens customers against applicable sanctions lists and for Politically Exposed Person (PEP) status. We reserve the right to refuse, delay, or block transactions where a compliance concern is identified.
- Merchant Obligations: If you integrate our Payouts or Liquidity products to serve your own end-users, you are responsible for ensuring your use of our platform complies with all applicable laws in the jurisdictions you operate. You must not use FluxRail's services to facilitate transactions for individuals or entities on government sanctions lists.
- Prohibited Jurisdictions: You may not use FluxRail's payment services to conduct transactions on behalf of individuals or entities subject to sanctions administered by the US Office of Foreign Assets Control (OFAC), the UN Security Council, or other applicable regulatory bodies.
- Third-Party Processors: Payment and payout services are facilitated through licensed third-party financial institutions and payment processors. Their terms and compliance requirements also apply to transactions processed through FluxRail.
- Right to Refuse: FluxRail reserves the right to refuse, suspend, or terminate access to payment services at any time where required by law, regulation, or our compliance obligations, without liability.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
